Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Bitsimple (the “Service”). By creating an account, connecting a payment method, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Important: Cryptoassets (including Bitcoin) are volatile and can go down as well as up. Bitsimple does not provide investment, tax, or legal advice, and we do not guarantee returns.
1. Definitions
- “Bitsimple”, “we”, “us”, “our” means the operator of the Service.
- “You”, “your” means the individual or entity using the Service.
- “Bitcoin” means the cryptoasset commonly known as BTC.
- “Pot” means a savings plan you set up within the Service (amount, frequency, payment method, and destination).
- “Contribution Rule” means your instructions to buy Bitcoin on a recurring basis (weekly/monthly or other options we make available).
- “Partner” means a third party we use to provide parts of the Service, such as payments, identity verification, or Bitcoin execution/custody.
2. Eligibility and your account
You must be at least 18 years old and have the legal capacity to enter into these Terms. You must provide accurate, current, and complete information when creating your account and keep it updated.
You are responsible for all activity on your account, including keeping your login credentials secure. If you believe your account has been compromised, contact us promptly and stop using the Service until you regain control.
3. Identity checks, screening, and compliance
To comply with applicable laws and Partner requirements, we may need to verify your identity (“KYC”) and screen you for anti-money laundering and sanctions compliance (“AML”). You agree to provide requested information and documents.
We may refuse, suspend, limit, or close your access to the Service if you fail checks, do not provide information, or if we reasonably believe your use may be unlawful, fraudulent, or harmful.
4. The Service
Bitsimple helps you automate recurring purchases of Bitcoin according to your Contribution Rules. Depending on how we operate in your region, execution, settlement, and storage may be performed by one or more Partners.
The Service is provided “as is” and may change over time. We may add, remove, or modify features, limits, and supported methods.
5. Contribution Rules (automated buys)
When you create a Pot, you select an amount, frequency, payment method, and any other settings we offer. You authorise us (and/or our Partners) to attempt to collect funds and execute purchases consistent with your rules.
- You can pause, edit, or cancel a Contribution Rule at any time in your dashboard (changes apply going forward).
- We process contributions when funds are successfully authorised and/or settled with our payment Partners.
- Purchase timing may vary due to processing cut-offs, weekends/bank holidays, network conditions, or Partner constraints.
- If a payment fails, we may retry or mark that scheduled contribution as skipped, depending on your settings and Partner behaviour.
No advice: You decide whether to use the Service and the amount/frequency. We do not assess suitability or appropriateness for you.
6. Fees, pricing, and taxes
You may be charged fees for using the Service. Fees (if any) will be shown in the app/website before you confirm, or described on our pricing page. Partners may also charge fees (e.g., payment processing or spreads) that are outside our control.
You are responsible for any taxes or duties that may apply to your use of the Service or to buying, holding, transferring, or selling Bitcoin. We do not provide tax advice.
7. Payments, reversals, and chargebacks
Payments are handled through payment Partners. Authorisation does not guarantee settlement. If a payment is reversed, charged back, or later found to be unauthorised, you remain responsible for the resulting shortfall, fees, and costs.
We may pause your account, limit withdrawals/transfers, or require repayment where there is a reversal or disputed transaction.
8. Execution, settlement, and market risk
Bitcoin prices can change rapidly. Any indicative prices shown are informational and may differ from the executed price. Execution may occur at a later time than your scheduled rule due to settlement timing, cut-offs, or Partner processes.
You accept that your Bitcoin purchases may be executed at prices that are higher or lower than expected, and that you may lose money.
9. Wallets, custody, and transfers
Depending on the setup available to you, Bitcoin may be held with a custody Partner, in an account controlled by you, or delivered to a wallet address you provide. If you provide an address, you are responsible for its accuracy.
- Crypto transfers are generally irreversible. If you send to the wrong address, you may not be able to recover funds.
- Network fees (“miner fees”) may apply to transfers, and confirmations may take time.
- We may apply reasonable security and compliance holds before allowing transfers.
10. Prohibited use
You must not use the Service:
- For any unlawful purpose, including money laundering, terrorism financing, fraud, or sanctions evasion.
- To infringe intellectual property rights or privacy rights of others.
- To probe, scan, or test vulnerabilities, or to interfere with the Service’s security or operation.
- To reverse engineer, copy, or resell the Service unless permitted by law or we expressly allow it.
- In a way that could harm Bitsimple, our users, or our Partners.
11. Communications
We may send you service-related communications (e.g., receipts, security alerts, rule confirmations, and important updates) by email, SMS, push notification, or in-app messages. You agree that these communications are part of the Service.
Marketing messages (if any) will be sent only where permitted, and you can opt out using the link or settings provided.
12. Privacy and data
Our collection and use of personal data is described in our Privacy Policy. Partners may also process your data to provide their services (for example, identity verification and payments).
13. Availability, maintenance, and support
We aim to keep the Service available, but we do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, outages, network issues, or Partner downtime.
Support channels and response times (if any) may be described on our website or within the app.
14. Intellectual property
The Service, including its software, design, and branding, is owned by Bitsimple or our licensors and is protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable licence to use the Service for your personal, lawful purposes.
15. Suspension, limits, and termination
You may stop using the Service at any time. We may suspend, limit, or terminate your access (in whole or in part) if: (a) you breach these Terms, (b) we suspect fraud or unlawful activity, (c) required by law or a Partner, or (d) necessary to protect the Service.
Where reasonable, we will attempt to give you notice. Some obligations (including fees owed, liability limits, and dispute clauses) survive termination.
16. Disclaimers
Bitsimple does not provide investment advice and does not make any recommendations regarding Bitcoin. Any information we provide is general and for informational purposes only.
To the maximum extent permitted by law, we disclaim all warranties and representations, whether express or implied, including implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement.
17. Limitation of liability
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under law (for example, liability for death or personal injury caused by negligence, or fraud).
Subject to the above, to the maximum extent permitted by law:
- We are not liable for losses caused by market movements, volatility, or changes in Bitcoin’s value.
- We are not liable for indirect, consequential, special, or punitive losses, or for loss of profit, revenue, business, goodwill, or opportunity.
- We are not liable for outages, delays, or failures caused by events outside our reasonable control, including Partner downtime or blockchain/network congestion.
If we are liable to you, our total liability for all claims relating to the Service will not exceed the total fees you paid to Bitsimple (excluding Partner fees) in the three (3) months immediately before the event giving rise to the claim, unless applicable law requires otherwise.
18. Indemnity
You agree to indemnify and hold Bitsimple, its directors, officers, employees, and Partners harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, unlawful use of the Service, or violation of any rights of a third party.
19. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or in-app notice). The updated Terms apply from the effective date stated.
If you continue to use the Service after changes take effect, you agree to the updated Terms.
20. Governing law and dispute resolution
These Terms are governed by the laws of England and Wales. If you are a consumer, you may also benefit from mandatory consumer protections in your country of residence.
The courts of England and Wales will have jurisdiction over disputes, unless mandatory local laws require otherwise.
21. General
- Entire agreement: These Terms (and referenced policies) form the entire agreement between you and Bitsimple about the Service.
- Severability: If any part is found unenforceable, the rest remains in force.
- No waiver: If we do not enforce a provision, we do not waive our right to do so later.
- Assignment: You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition, or sale of assets.
- Third parties: Partners may provide parts of the Service. Except where required by law, a person who is not a party to these Terms has no right to enforce them.
